1. Agreement to Terms

By accessing or using Ivy ("the Service"), operated by Chert Technologies ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

2. Description of Service

Ivy is an AI-powered concierge accessible via iMessage. Ivy learns your routines from connected accounts (email, calendar, location) and helps manage recurring decisions such as food and coffee orders. Orders are fulfilled through third-party delivery platforms.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Ivy. By using the Service, you represent and warrant that you meet these requirements.

4. Account & Onboarding

To use Ivy, you must complete our onboarding process, which includes providing your name, email, and optionally connecting third-party accounts (Google, email, calendar) and sharing your location. You are responsible for maintaining the accuracy of the information you provide.

5. Orders & Payments

Ivy may place orders on your behalf through third-party delivery services (e.g., DoorDash). By using the Service, you authorize Ivy to place orders within the spending limits and preferences you configure. All payments are processed securely through Stripe. You are responsible for all charges incurred through your account.

6. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to interfere with or disrupt the Service
• Impersonate another person or entity
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam or unsolicited communications

7. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, and software — are the exclusive property of Chert Technologies and are protected by copyright, trademark, and other intellectual property laws.

8. Third-Party Services

Ivy integrates with third-party services including delivery platforms, payment processors, email providers, and calendar services. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that orders will be fulfilled accurately, on time, or without error. Ivy's suggestions and actions are AI-generated and may not always reflect your exact preferences.

10. Limitation of Liability

To the fullest extent permitted by law, Chert Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. You may stop using the Service at any time by texting Ivy or contacting us. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via iMessage or email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
